Terms and Conditions

General Notice: Participation in the Cybercentry Genesis Launch Trade-in Programme (the “Programme”) is subject to the terms and conditions outlined herein. By participating, you acknowledge and agree that you have read, understood, and accepted this disclaimer in its entirety.

Programme Terms: The Programme is a $1-for-$1 value exchange, where the value of old tokens is exchanged for new tokens based on the following terms:

Old Token Price: Determined by the average market price of the old token from 1 June 2025, 12:00 PM UTC to 11 June 2025, 12:00 PM UTC, as calculated from Virtuals Protocol.

Cybercentry Genesis Token Vesting:

Option 1: The amount of new tokens received is based on the highest market capitalisation of the new token within 24 hours of the Token Generation Event (TGE), with full vesting of the allocation immediately following a 6-month cliff.

Option 2: The amount of new tokens received is based on the market capitalisation of the new token at the first unlock (end of a 6-month cliff), with linear vesting over the following 6 months (12 months total from TGE).

The number of new tokens issued reflects the $1-for-$1 value equivalence, subject to the applicable vesting schedule.

No Financial Advice: The Programme and any related materials, communications, or representations do not constitute financial, investment, legal, tax, or professional advice. You are solely responsible for conducting your own due diligence and consulting with qualified professionals before participating.

High-Risk Activity: Tokens, cryptocurrencies, and blockchain-based assets are highly speculative and involve significant risks, including the potential for partial or total loss of your investment. Market volatility, regulatory changes, or other external factors may negatively impact the value or utility of both existing and new tokens. Past performance is not indicative of future results.

No Guarantees: No representations, warranties, or guarantees are made regarding the value, functionality, performance, or future utility of the new tokens. The valuation of old and new tokens, including the calculation of average prices for old tokens and market capitalisation-based valuations for new tokens, is subject to market fluctuations and other factors beyond the control of the issuing entity.

Refund if Genesis Launch Fails: If the Genesis Launch does not meet the 112,000 $VIRTUAL funding goal, participants in the Programme will be refunded in USDC, equivalent to the USDC, calculated on a $1-for-$1 basis using the old token’s average price.

Regulatory Compliance: The Programme may be subject to laws and regulations in various jurisdictions, including securities laws, anti-money laundering (AML), and know-your-customer (KYC) requirements. You are solely responsible for ensuring that your participation complies with all applicable laws in your jurisdiction. Participation may be restricted or prohibited in certain jurisdictions, and you represent that you are eligible to participate under the laws applicable to you.

Vesting and Lock-Up Risks: New tokens are subject to vesting schedules, as outlined in the Programme terms (6-month cliff with either immediate vesting or linear vesting over an additional 6 months). You acknowledge that you may not have immediate access to or control over your tokens during the vesting period, and their value may fluctuate significantly during this time.

Technical Risks: The Programme involves blockchain technology, which is subject to risks including, but not limited to, network failures, smart contract vulnerabilities, hacks, bugs, or other technical issues. The issuing entity is not liable for losses resulting from technical issues beyond its reasonable control.

Tax Implications: Participation in the Programme may result in tax obligations, including income tax, capital gains tax, or other applicable taxes, depending on your jurisdiction. You are solely responsible for determining and fulfilling any tax obligations arising from your participation.

Forward-Looking Statements: Any statements regarding the Programme, including potential outcomes, token utility, or valuation, may constitute forward-looking statements. These are based on current expectations and are subject to risks and uncertainties that could cause actual results to differ materially.

Liability Limitation: To the fullest extent permitted by law, the issuing entity, its affiliates, and their respective officers, directors, employees, or agents shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your participation in the Programme, including but not limited to losses due to market fluctuations, technical failures, or regulatory actions.

Eligibility: Participation is limited to individuals or entities who meet the eligibility requirements. The issuing entity reserves the right to refuse participation at its sole discretion.

Modification or Termination: The issuing entity reserves the right to modify or terminate the Programme at any time, subject to applicable laws and notice to participants, without liability for losses incurred as a result.

Acceptance of Risks: By participating in the Programme, you acknowledge the inherent risks and uncertainties involved, including those related to the $1-for-$1 valuation, old token pricing period, and vesting schedules, and agree to assume full responsibility for any outcomes resulting from your participation.
